1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and SocialDrop LLC ("SocialDrop," "we," "us," or "our"), a limited liability company organized under the laws of the State of Illinois, operating the website and services at social-drop.com.

By creating an account, accessing, or using SocialDrop in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our services. If you are using SocialDrop on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

SocialDrop is an Instagram automation platform designed for local service businesses. Our service includes:

  • Photo management: You upload photos directly to SocialDrop or sync them from a connected Google Drive folder.
  • AI caption generation: Our AI system analyzes your images and generates suggested captions, hashtags, and calls to action tailored to your business niche and brand voice.
  • Post scheduling: You can schedule posts for specific dates and times, or use our smart scheduling feature to automatically determine optimal posting times.
  • Instagram publishing: We publish approved posts to your connected Instagram Business or Creator account via the official Meta (Instagram) Graph API.
  • Email notifications: We send you preview emails before posts are published, allowing you to approve, edit, or skip posts.
  • Dashboard: A web-based interface where you can manage your content, review upcoming posts, adjust settings, and monitor your publishing history.

3. Account Requirements

To use SocialDrop, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction.
  • Provide accurate, current, and complete information when creating your account.
  • Maintain the accuracy of your account information and update it promptly if it changes.
  • Keep your login credentials confidential and not share them with any third party.
  • Be responsible for all activity that occurs under your account, whether or not you authorized it.
  • Notify us immediately at admin@social-drop.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.

4. Instagram Business Account

To publish content through SocialDrop, you must:

  • Have an Instagram Business account or Instagram Creator account. Personal Instagram accounts are not supported by the Instagram Graph API and cannot be used with SocialDrop.
  • Connect your Instagram account to SocialDrop by authorizing our application through the official Instagram/Meta OAuth process.
  • Comply with Instagram's Terms of Use and Community Guidelines at all times.
  • Ensure your Instagram account is in good standing with Meta. SocialDrop cannot restore access if Meta restricts or disables your account.

You understand that SocialDrop publishes content to Instagram on your behalf using the Meta Graph API. Any posts published through SocialDrop are treated by Instagram as posts from your account. You are solely responsible for ensuring all published content complies with Instagram's policies.

5. Content Ownership

You retain full ownership of all photos, images, and other content that you upload to SocialDrop or sync from your Google Drive.

By using our service, you grant SocialDrop a limited, non-exclusive, royalty-free, worldwide license to:

  • Store, process, and display your content within the SocialDrop platform.
  • Send your content to our AI service provider (Anthropic) for caption generation.
  • Publish your content to your connected Instagram account on your behalf.
  • Include your content in email preview notifications sent to you.

This license exists solely to provide the SocialDrop service and terminates when you delete your content or close your account. We do not claim any ownership rights to your content and will never use your content for marketing, advertising, or any purpose other than providing our service to you.

6. AI-Generated Captions

SocialDrop uses artificial intelligence (powered by Claude, developed by Anthropic) to generate suggested captions, hashtags, and calls to action for your Instagram posts.

You acknowledge and agree that:

  • AI-generated captions are suggestions only. They are not guaranteed to be accurate, appropriate, or error-free.
  • You are solely responsible for reviewing and approving all content before it is published to your Instagram account.
  • If you enable the auto-approve feature, you accept responsibility for all content published automatically on your behalf, including AI-generated captions.
  • SocialDrop is not responsible for any consequences resulting from AI-generated content that is inaccurate, misleading, or otherwise problematic.
  • You should review all captions for factual accuracy, appropriate tone, correct business information, and compliance with Instagram's Community Guidelines before approving them for publication.

7. Acceptable Use

You agree not to use SocialDrop to:

  • Upload, publish, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Publish content that infringes on the intellectual property rights, privacy rights, or other rights of any third party.
  • Engage in spam, including publishing repetitive, misleading, or unsolicited promotional content.
  • Publish false, misleading, or deceptive content, including fake reviews, testimonials, or before-and-after comparisons.
  • Violate Instagram's Terms of Use, Community Guidelines, or any other Meta platform policies.
  • Attempt to circumvent any rate limits, security measures, or access controls of our service or third-party APIs.
  • Use automated tools, bots, or scripts to interact with SocialDrop outside of normal use of our interface.
  • Reverse engineer, decompile, or disassemble any part of our service.
  • Use our service for any purpose that is unlawful or prohibited by these Terms.

We reserve the right to remove content and suspend or terminate accounts that violate these acceptable use policies, at our sole discretion and without prior notice.

8. Service Availability

We strive to maintain SocialDrop's availability at 99% uptime. However, you acknowledge and agree that:

  • Our service depends on third-party APIs, including the Meta (Instagram) Graph API, Google Drive API, and other services. Changes, outages, or rate limits imposed by these third parties may affect our ability to provide the service.
  • We may experience downtime for maintenance, updates, or unforeseen technical issues.
  • Instagram API changes or policy updates by Meta may require us to modify or temporarily suspend certain features.
  • We are not responsible for failed or delayed posts caused by Instagram API errors, rate limits, or account restrictions imposed by Meta.
  • We will make reasonable efforts to notify you of planned maintenance windows in advance.

SocialDrop is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected within any specific timeframe.

9. Billing & Payments

  • Subscription model: SocialDrop operates on a monthly subscription basis. The specific plans, features, and pricing are listed on our website and may be updated from time to time.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
  • Payment processing: Payments are processed securely through Stripe. We do not store your credit card numbers on our servers. All payment data is handled in accordance with PCI-DSS standards.
  • Cancellation: You may cancel your subscription at any time through your billing portal or by contacting us at admin@social-drop.com. Your access will continue through the end of your current billing period.
  • Refunds: Refund requests are handled on a case-by-case basis. We will consider refunds for service issues that were within our control. Contact us to discuss your situation.
  • Price changes: We reserve the right to change our pricing. Existing subscribers will be given at least 30 days' notice of any price increase and may cancel before the new price takes effect.
  • Free trial: If we offer a free trial, the terms and duration will be specified at the time of sign-up. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • SocialDrop, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our service.
  • We are not responsible for any issues with your Instagram account, including but not limited to account restrictions, suspensions, or bans imposed by Meta, whether or not related to content published through SocialDrop.
  • We are not responsible for the accuracy, appropriateness, or effectiveness of AI-generated captions or any content suggestions provided by our service.
  • We are not responsible for any lost revenue, lost profits, loss of data, or business interruption resulting from service outages, failed posts, or delayed publications.
  • Our total aggregate liability to you for all claims arising from or related to your use of SocialDrop shall not exceed the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Termination

Termination by You

You may close your account at any time by contacting us at admin@social-drop.com or using the account deletion option in your dashboard. If you have an active subscription, it will remain active through the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use policies.
  • Your use of the service poses a security risk or could harm other users.
  • We are required to do so by law.
  • Your account has been inactive for more than 12 consecutive months.

Effect of Termination

Upon account closure, we will stop publishing posts on your behalf. Your data will be retained for 30 days to allow for account recovery, after which all your data, including uploaded images, post records, and account information, will be permanently deleted. Instagram and Google Drive tokens are revoked immediately upon termination.

12. Indemnification

You agree to indemnify, defend, and hold harmless SocialDrop LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Content you upload, approve, or publish through SocialDrop, including content published via auto-approve.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of Instagram's Terms of Use or Community Guidelines.
  • Your violation of any third party's intellectual property, privacy, or other rights.
  • Any claim by a third party related to content published on your Instagram account through our service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Illinois, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

We believe most disputes can be resolved without formal legal proceedings. If you have a concern or dispute regarding our service:

  1. Informal resolution: Contact us at admin@social-drop.com and describe your concern. We will make a good-faith effort to resolve the matter within 30 days.
  2. Mediation: If informal resolution is unsuccessful, either party may propose mediation. The parties will attempt to agree on a mutually acceptable mediator. The costs of mediation will be shared equally.
  3. Litigation: If mediation is unsuccessful or not pursued, either party may bring a claim in the state or federal courts of the State of Illinois in accordance with the Governing Law section above.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page.
  • For material changes (such as changes to liability, payment terms, or your rights), we will notify you by email at least 30 days before the changes take effect.
  • For non-material changes (such as clarifications or formatting), the updated Terms will take effect upon posting.
  • Your continued use of SocialDrop after the effective date of any changes constitutes your acceptance of the updated Terms.
  • If you do not agree to the updated Terms, you must stop using our service and may close your account.
